1. これらの利用規約への同意

These Terms of Use (the “Terms”) are a binding agreement between you and Refern Labs Inc.(“Refern”, “we”, “us”, “our”), a corporation organized under the laws of the Province of Ontario, Canada. They govern your access to and use of the refern desktop application, the refern browser extension, the refern.app website, online accounts and sharing, and any related software, updates, and services we provide (together, the “Software”). By downloading, installing, activating, or using the Software, you agree to these Terms. If you do not agree, do not use the Software.

2. ソフトウェアとライセンス

refern is a local-first visual asset manager and canvas tool. Your files stay on your own device unless you choose to publish or otherwise transfer them. Online accounts and sharing are optional; signing in does not enable automatic library sync or backup. Normal workspaces can organize and reference existing files in place; explicit imports and file actions can create, copy, move, rename, or delete files.

At the initial online launch, a verified purchased desktop license includes the free sharing allowance shown in your account, after signup and license linking. Publication, storage, format, expiry, and renewal limits apply. Renewing a free share uses the publication allowance. Paid online plans are not currently offered. A desktop purchase does not promise unlimited or permanent online hosting, future sync, or future paid features.

Use an email address you control and provide accurate account information. Keep sign-in codes, sessions, and license keys confidential. You are responsible for your account activity and share settings. Notify us promptly if you suspect unauthorized access. License linking must use a purchase you are entitled to use and may require verification with the purchase provider.

3. ライセンス制限

• ソフトウェアを使用して競合製品を作成する、または違法な方法や違法な目的で使用すること。

4. 無料トライアル

私たちは無料トライアル（現在30日間）を提供しており、その期間中はソフトウェアは完全に機能し、隠れた制限はありません。購入前に、ソフトウェアを評価し、使用しているデバイスやオペレーティングシステムで正しく動作することを確認することを強くお勧めします。トライアル期間が終了すると、ソフトウェアを引き続き使用するには有効なライセンスが必要です。今後のユーザー向けに、トライアルの期間や条件をいつでも変更する場合があります。

5. 購入、料金と支払い

6. 返金

無料の30日間トライアルを提供しており、ソフトウェアを評価し、支払い前にシステム互換性を確認できるため、ライセンス購入は一般的に最終的なものです。返金リクエストは以下の基準に基づき、個別に審査されます。返金が承認された場合、購入を処理した販売者によって処理され、その処理時間および購入者条件に従います。

• 購入時、お客様のデバイスとオペレーティングシステムはrefernの公式にサポートされている環境（Windows、macOS、Linux）の範囲内でしたが、ソフトウェアは正常に起動できず、主要な機能を実行できず、当社のサポートからの合理的な支援を受けた後でも問題は解決しませんでした。

私たちが受け入れない理由

• 「嫌い」「欲しくない」「ユーザーフレンドリーではない」「気が変わった」や金銭的理由などを含む主観的、個人的な理由。
• 「ただ返金を希望する」といった具体的な理由や技術的な説明のないリクエスト。
• ソフトウェアの記載範囲外の期待や機能に基づく要求。
• サードパーティのプラグインや拡張機能に関連する問題、互換性や使用方法を含む。
• 合理的なトラブルシューティング手順やサポート要求への協力を拒否すること。
• 購入後にユーザーが行った操作や環境の変更によりソフトウェアを使用できない場合、以下に限定されないが、これには以下が含まれる：購入後にオペレーティングシステムを変更すること（例えば、WindowsやmacOSからLinuxへ変更する場合）、公式にサポートされていないオペレーティングシステムやデバイス環境を使用すること、システムの構成を変更、カスタマイズ、または非標準または異常な構成を使用すること、仮想マシン、リモートデスクトップ、クラウド環境、その他の非公式互換性ソリューションを通じてソフトウェアを実行すること。

返金の評価は、購入時のデバイスおよびシステム環境のみに基づきます。購入後に行われた環境の変更は、返金の理由として考慮されません。

返金の申請方法

• 支払いから 5 日以内に jackson@refern.app に返金リクエストを提出してください。
• 返金の理由を明確に記載し、該当する場合は関連するシステムやエラーの詳細を提供してください。
• ご依頼を受け取り次第、レビュー結果を3営業日以内にご連絡いたします。

7. あなたのコンテンツとデータ

refern is local-first. The images, files, canvases, tags, and other content you manage with the Software (“Your Content”) remain on your device during normal core-library processing and are not uploaded to a refern cloud service. You retain the rights you hold in Your Content. We do not claim ownership of or sell it. Networked actions can transmit only the data you choose to submit or request, as described in our Privacy Policy.

When you publish content or request a desktop clone of your visitor edits and added media, you grant us a non-exclusive, worldwide, royalty-free permission to store, copy, process, resize, deliver, and display it, and to let our service providers do so, only as needed to operate your requested sharing and transfer features. This includes previews and downloads or desktop cloning where offered. You must have the rights and permissions needed for the requested publication or transfer of the content and associated metadata. This permission does not transfer ownership and ends when the content is removed from our systems, subject to the retention and legal exceptions in our Privacy Policy.

Anyone with a public link can access its content. Anyone with a private link and its PIN can access that PIN-protected share. Public previews may appear on social platforms or search engines. Choose settings appropriate for your content and share links and PINs carefully. Visitors must respect the content owner's rights; a public link, download, or clone does not grant a general license to redistribute or commercially use someone else's work. Removing or restricting a share cannot recall copies already obtained by others.

Publications are snapshots. Later local edits do not change an existing publication unless you explicitly replace its content. Visitor canvas edits are temporary unless transferred to the desktop app. Shares may expire, reach usage limits, or become unavailable. Retained media may be deleted after the retention period described in our Privacy Policy, and renewal may require republishing. Online sharing is not a backup service.

10. サードパーティサービス

The Software and website rely on certain third-party services, including Lemon Squeezy (new payments, licensing, and affiliate attribution), Polar (legacy payments and licensing), Supabase (authentication and data storage), Cloudflare (media storage, delivery, and bot protection), Vercel (web hosting), and Resend (email delivery). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services, websites, or content that you access through the Software, including material you save from external sources using the browser extension.

11. 許容される使用

Do not use online sharing for phishing, spam, harassment, illegal content, or unauthorized distribution of copyrighted material. Do not bypass PINs, access controls, or account limits. To report unlawful content or a rights violation, contact jackson@refern.app with the share link, the reason for your report, and the information needed to assess it.

12. 保証の免責事項

13. 責任の制限

14. 補償

あなたは、ソフトウェアの誤用、本利用規約の違反、または法律や第三者の権利の違反により生じる請求、損害、責任、および費用から、Refern Labs Inc. を補償し、無害に保つことに同意します。

15. 契約の終了

これらの利用規約は、お客様がソフトウェアを使用している限り適用されます。お客様が本規約に重大な違反をした場合（セクション3に記載されたライセンス制限を含む）、当社はお客様のライセンスを一時停止または終了させることがあります。ライセンスが終了した場合、お客様はソフトウェアの使用を中止し、デバイスから削除する必要があります。性質上、終了後も存続すべきセクション（知的財産、免責事項、責任の制限、補償など）は引き続き適用されます。

You can remove your shares through your account and request account deletion by contacting us. We may restrict or remove shared content or suspend online access to address a material breach, security risk, unlawful content, or legal requirement. Where reasonably possible and lawful, we will explain the action and provide a way to contact us about it. Ending online access does not by itself terminate a valid desktop license. We may change or discontinue online features, with reasonable advance notice of material reductions where practicable. Your statutory rights remain unaffected. Data retention follows our Privacy Policy.

16. これらの規約の変更

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. We will give appropriate notice of material changes and state when they take effect. Where required by law, we will ask for your agreement before applying them. Changes do not remove mandatory consumer rights or apply retroactively to an existing dispute.

17. 準拠法

これらの利用規約は、オンタリオ州の法律および該当地域に適用されるカナダの連邦法に従って規律され、法の抵触に関する規則は考慮されません。カナダのオンタリオ州に所在する裁判所が、本規約またはソフトウェアに起因または関連する紛争についての専属的な管轄権を有し、あなたはその管轄および裁判地に同意するものとします。このセクションのいかなる規定も、あなたの居住地の法律における必須の消費者保護権を制限するものではありません。
